Terms of service.

1. The service

Coord is a web application for planning, running, marking, moderating and reviewing university units and programs. It is provided by Coord (entity name and ABN to be confirmed) to the person or organisation that creates an account (“you”). By creating an account you agree to these terms and to the privacy statement.

Coord complements and never replaces your university's curriculum system, learning management system, student system or payroll. Every mark, grade or hour figure it produces is provisional or an estimate until your university's system of record publishes or pays it. You remain responsible for what you submit to those systems.1

2. Accounts and organisations

Sign-in is by a link or code sent to your email address or mobile; keep that inbox and device secure and tell us if you lose control of them. An organisation is created by one person, who becomes its owner and may invite others. The owner is responsible for who is invited and for the roles and permissions granted.

3. Your organisation's data and student data

You keep ownership of everything you put into Coord. You give us the licence needed to store, process and display it to run the service for you, and no more. Where you import information about students, you warrant that your organisation is entitled to use it in Coord under its own policies and the privacy law that binds it, and that you will not import diagnoses, Indigenous status, agent details or passwords. We process student data on your organisation's behalf; the organisation stays the controller.2

4. Acceptable use

Do not use Coord to break the law, to harass anyone, to store material you have no right to store, to probe or overload the service, or to build a competing product from its output. Messages you send through Coord to students and staff must comply with the Spam Act 2003 and your university's communication policies; only opted-in mobiles receive text messages, and STOP is honoured.

5. Fees

Plans and prices are set out on the pricing page. Self-serve prices are in Australian dollars and include GST; institutional plans are invoiced ex GST on 30-day terms. Subscriptions renew until cancelled; you can cancel in Settings and the plan runs to the end of the paid period. The first annual purchase carries a fourteen-day money-back guarantee. Credit packs are prepaid and expire after twelve months. Nothing is charged to a card without a purchase you made.3

6. Availability and changes

We aim to keep Coord available continuously and will announce planned maintenance in the app. We may change features; we will not remove a plan's core capability without notice and an export path. Material changes to these terms are noted on the changelog and, for paid plans, by email, at least thirty days before they take effect.

7. Ending the agreement and export

You can export everything your organisation holds at any time and delete the organisation from Settings; deletion runs as a job and produces a receipt. We may suspend or end an account for a breach of section 4 after giving notice where it is reasonable to do so, and we will still let you export your data unless the law prevents it.4

8. Liability

The Australian Consumer Law gives you guarantees that cannot be excluded. To the extent the law allows, our liability for anything else arising from the service is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential loss. Nothing in these terms limits liability for fraud or for anything that cannot be limited by law.

9. Privacy and security

The privacy statement and the security page form part of these terms. If we become aware of a breach affecting your organisation's data we will tell you promptly.

10. Governing law

These terms are governed by the law of New South Wales, Australia, and the courts of that state have jurisdiction. (founder to confirm the jurisdiction)
